Terms and Conditions for Hosting and Social Media Management Services – Quidrobo Ltd.

1. Purpose of the Agreement

This Agreement sets out the terms and conditions under which Quidrobo Ltd (Reg No: 15341119 England and Wales). (“Quidrobo”) provides website hosting, social media management, and related services to the Client(who fills the details and agreeing to the terms and conditions by ticking/selecting the checkbox below). It outlines mutual responsibilities, deliverables, and payment terms.

2. Services Provided

Quidrobo provides the following services:

2.1 Website Hosting: Quidrobo hosts the Client’s PHP-based website, supporting only websites using PHP scripts and MySQL databases. Quidrobo does not design, develop, or build websites under this agreement but may offer custom website and software solutions separately.

2.2 Social Media Management: Quidrobo manages the Client’s social media presence, creating and posting regular, customised content to agreed social media platforms, with a minimum of two posts weekly across three platforms with prior approval from the client. However, Quidrobo is not liable for failing to meet this posting frequency due to unavoidable circumstances, delays by the Client, or any unforeseen events. If the Client allows Quidrobo to post without prior approval, written permission from the Client is required. Quidrobo takes great care to prevent misleading or incorrect content, but is not liable for accidental posting of such content.

2.3 Email Services: Quidrobo provides up to five email addresses, each with a maximum of 5GB storage, plus up to five email aliases.

2.4 Maintenance and Support: Quidrobo carries out regular server updates, security patches, and basic performance optimisation to ensure website functionality and security.

3. Hosting Criteria and Right of Refusal

Quidrobo reserves the right to refuse or terminate hosting services if the Client’s website content or usage does not meet Quidrobo’s acceptable hosting standards, including content deemed unlawful, unethical, inappropriate, or excessively resource-intensive. Removal of any service (website, email, social media) will not reduce the fixed monthly fee (£99 including VAT).

4. Fair Usage Policy

Quidrobo provides shared hosting designed for small PHP websites with MySQL databases. Usage limits include:

  • Monthly Traffic: Must not consistently exceed 10 GB.
  • Database Size: Maximum total MySQL database size of 1 GB.
  • Disk Storage: Web storage must not exceed 5 GB.
  • Server Resources: Usage should not negatively affect other hosted clients.

If the Client exceeds these limits, Quidrobo will notify the Client, offering the chance to reduce usage or upgrade services. Persistent overuse may incur additional charges beyond the fixed monthly fee.

5. Payment Terms

5.1 Service Fee: The Client agrees to pay a fixed fee of £99 per month (including VAT) for the outlined hosting and social media management services.

5.2 Payment Schedule: Monthly payments are due in advance, starting immediately after the end of the trial period, if the Client chooses to continue the service.

5.3 Free Trial: Quidrobo offers a 14-day free trial. Payment obligations begin only after this period if the Client decides to continue.

5.4 Additional Charges: Any additional services, upgrades, or resource overuse will incur extra charges, subject to prior notification and agreement.

5.5 Late Payments: If payment is not received, Quidrobo will attempt to contact the Client three times, with intervals of one week. If payment issues remain unresolved, Quidrobo may terminate services and delete all associated content. Quidrobo is not liable for any resulting loss of business, digital assets, or other losses due to service removal or content deletion.

5.6 Price Adjustment: Quidrobo reserves the right to adjust pricing at any time, providing written notice to the Client.

6. Rolling Contract and Cancellation

6.1 Monthly Rolling Contract: This Agreement automatically renews each month unless terminated as described below.

6.2 Client Cancellation: The Client may terminate this Agreement by giving 14 days’ written notice.

6.3 Quidrobo Cancellation: Quidrobo may terminate this Agreement immediately if the Client breaches terms or with 14 days’ notice for any other reason.

7. Obligations of the Parties

7.1 Quidrobo’s Obligations:

  • Provide the specified hosting and social media management services.
  • Maintain server uptime and security to industry standards.
  • Promptly notify the Client of any resource overuse or security concerns.
  • Fully comply with UK GDPR regulations for data protection.

7.2 Client’s Obligations:

  • Ensure that all content provided for use on websites and social media platforms complies with all applicable laws and regulations of the United Kingdom or, where relevant, the governing laws of any other applicable jurisdiction.
  • Obtain and maintain all necessary rights, licences, consents, and permissions (including but not limited to copyright, model, image, and trademark permissions) required for Quidrobo Ltd. to lawfully use, publish, or distribute the content as instructed by the Client.
  • Refrain from engaging in any activity that may place an unreasonable or excessive load on servers or pose a security risk to Quidrobo Ltd.’s infrastructure or services.
  • Make all payments to Quidrobo Ltd. in a timely manner, in accordance with the terms set out in Section 5 of this Agreement.
  • Respond promptly to all communications from Quidrobo Ltd. relating to service provision, content usage, or any technical or legal issues that may arise.

8. Confidentiality and Data Protection

8.1 Both Quidrobo and the Client agree to treat all shared proprietary information as confidential.

8.2 Quidrobo will fully comply with UK GDPR regulations, ensuring the security and privacy of the Client’s data.

9. Liability and Indemnity Insurance

Quidrobo maintains Professional Indemnity Insurance with coverage up to a maximum of £1,000,000. Any claim against Quidrobo by the Client will not exceed this insured amount.

10. Entire Agreement

This Agreement represents the complete understanding between Quidrobo and the Client regarding the services provided, replacing any previous agreements or discussions. Any amendments must be in writing and signed by both parties. Should any provision be found invalid, the remaining terms remain fully enforceable.
